1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of PingSeat, LLC’s website, applications, and services (collectively, the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Our Service

PingSeat provides tools that allow users to set preferences for live event tickets (including price thresholds and seat sections) and receive alerts when matching tickets are detected.

PingSeat does not sell tickets, guarantee ticket availability, or promise successful purchase of tickets. Our role is limited to sending notifications via email and/or text.

3. Subscriptions & Payments

• We offer monthly and annual subscriptions.
• Subscriptions automatically renew unless cancelled before the renewal date.
• Payments are processed through third-party providers.
• All fees are non-refundable except where required by law.

4. Refund & Cancellation Policy

• No refunds will be issued for any payments, including subscription (monthly or annual), promotional plans, event-based pricing, or other payments, except where required by law.
• Users may cancel at any time through their account dashboard under the “Billing” section.
• Once cancelled, your subscription remains active until the end of the current billing cycle; no further charges will occur.
• Once cancelled, services will be discontinued at the end of your current billing cycle.

5. Alerts

• PingSeat will make reasonable efforts to send alerts promptly when ticket matches are found.
• We do not guarantee that you will receive all alerts, or that alerts will be delivered before tickets are sold by third parties.
• PingSeat is not responsible if you fail to act on an alert or if no tickets remain available at the time you attempt to purchase.

6. No Guarantees

PingSeat provides alerts only. We do not guarantee seat availability, ticket prices, delivery, or successful purchase through third-party platforms. Your transactions and purchases occur with third-party ticket providers, not with PingSeat.

7. Affiliate Links

PingSeat may include affiliate links in alerts, emails, or on its website. If you purchase tickets through these links, PingSeat may earn a commission at no additional cost to you.

8. Other Payment Offers

From time to time, PingSeat may offer alternative payment models, such as per-event notification pricing or limited-time promotions. These offers will be clearly disclosed at the time of purchase.

9. Use of Service

You agree not to:

• Use the Service for unlawful purposes.
• Interfere with the proper functioning of the Service.
• Attempt to reverse engineer or misuse our systems.

PingSeat reserves the right to suspend or terminate accounts that violate these Terms.

10. Third-Party Links & Services

Our alerts may include links to third-party ticket platforms. PingSeat is not responsible for the content, pricing, availability, or terms of those platforms. Your dealings with third parties are solely between you and them.

11. Limitation of Liability

To the maximum extent permitted by law, PingSeat, LLC shall not be liable for:

• Missed alerts, delayed notifications, or failed delivery of messages.
• Losses or damages related to ticket purchases, availability, or pricing.
• Any indirect, incidental, or consequential damages.

Your sole remedy is to discontinue use of the Service.

12. Changes to Service

We may update, suspend, or discontinue parts of the Service at any time. Subscription fees will not be refunded in the event of service changes unless required by law.

13. Termination

You may cancel your subscription at any time. We may terminate or suspend your account if you breach these Terms or for any reason at our sole discretion.

14. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict of law provisions.
